Nebraska Registered Agent Requirements Explained

Two appointments follow a Nebraska LLC through its whole life: a designated office and an agent for service of process, the role everyone calls the registered agent. Whoever holds it is the address of record for lawsuits, state notices, and official mail. Below is what the statute actually requires, and where a $99-per-year professional fits.

The Role in Plain Terms

When a process server has papers for your LLC, or the Secretary of State mails a compliance notice, the registered agent is where those items legally land. The agent's job ends at reliable receipt and prompt handoff. Legal advice and court appearances are not part of it.

A terminology note: Nebraska's LLC act uses the phrase "agent for service of process" rather than registered agent, while the state's own filing forms use the familiar term. They describe one and the same role.

What Neb. Rev. Stat. § 21-113 Requires

Section 21-113 of the Nebraska Uniform Limited Liability Company Act governs the role. Under subsection (c), the agent must be a Nebraska resident individual or another person "with authority to transact business in this state." Companies qualify by being authorized to operate in Nebraska; individuals qualify by residency.

The same section obligates the LLC to keep both the designated office and the agent continuously in place. Neither may lapse at any point in the company's life. The Secretary of State's LLC statutes page collects the full act if you want the primary source.

The Address Rule

State filings require a Nebraska street address for the agent. A PO box may ride along as an extra line, but it cannot substitute for the street address, because hand delivery of legal papers has to be possible. The designated office, for its part, does not need to be a location where the company actually operates. On top of the statute sits the practical expectation that someone is present at the agent's address during normal business hours.

Section 21-113(c) defines who qualifies, residency or authority to do business, and stops there. So treat the decision as a practical one. An owner listed as agent puts a personal address into the public record, commits to business-hours availability at that address, and accepts that a process server may arrive at the worst possible moment, in front of a customer or the family.
